Terms of Service

1. Agreement to Terms

By accessing or using the uFlo.ai website (“Site”) and services (“Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Site or Services. These Terms constitute a legally binding agreement between you and uFlo.ai (“Company,” “we,” “us,” or “our”).

2. Services

uFlo.ai provides AI consulting, development, integration, training, and related services. The specific scope, deliverables, timelines, and fees for any engagement will be defined in a separate Statement of Work (SOW) or service agreement between you and the Company.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding agreements to use our Services. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. User Accounts

Certain features may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

5. Intellectual Property

Company IP

All content, trademarks, logos, and other intellectual property on the Site are owned by or licensed to uFlo.ai. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

Client deliverables

Unless otherwise specified in a Statement of Work, all custom deliverables (code, models, documentation) created specifically for you as part of a consulting engagement are assigned to you upon full payment. Pre-existing tools, libraries, and frameworks owned by the Company remain our property.

6. Acceptable Use

You agree not to:

• Use the Site or Services for any unlawful purpose
• Attempt to gain unauthorized access to our systems or networks
• Transmit viruses, malware, or other harmful code
• Interfere with or disrupt the integrity or performance of the Site
• Scrape, data mine, or extract data from the Site without permission
• Impersonate any person or entity

7. Payment Terms

Fees for Services will be set forth in the applicable SOW or service agreement. Unless otherwise agreed, invoices are due within 30 days of receipt. Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

8. Confidentiality

Both parties agree to keep confidential any non-public information disclosed during the course of an engagement. This obligation survives termination for a period of two (2) years. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party.

9. Limitation of Liability

To the maximum extent permitted by law, uFlo.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity arising from your use of the Site or Services. Our total aggregate liability shall not exceed the amounts paid by you to us in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Site and Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure.

11. Indemnification

You agree to indemnify, defend, and hold harmless uFlo.ai and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Site or Services, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

We may suspend or terminate your access to the Site or Services at any time for any reason, including violation of these Terms. Upon termination, your right to use the Site ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) will survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Site with a revised date. Your continued use of the Site after changes constitutes acceptance of the updated Terms.
